Terms of Service

1. Acceptance of Terms

By accessing or using Louder (louderstore.com, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms apply to all visitors, registered users, sellers, and buyers.

We may update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. Material changes will be communicated via email or a notice on the Platform.

2. Description of Service

Louder is a peer-to-peer marketplace that enables music producers ("Sellers") to list unfinished digital audio workstation (DAW) project files for sale, and enables other users ("Buyers") to purchase those files. The Platform facilitates transactions between Sellers and Buyers but is not a party to any transaction. We do not create, own, endorse, or guarantee any listed content.

Supported project file formats include, but are not limited to: FL Studio (.flp), Ableton Live (.als), Logic Pro (.logicx), Pro Tools (.ptx), Reason, and other DAW formats. All files must be delivered as ZIP archives.

3. Eligibility & Accounts

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Platform. By registering, you represent that you meet this requirement.

You are responsible for maintaining the security of your account credentials. You are liable for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are otherwise harmful to the Platform or its users.

4. Seller Terms

4.1 Stripe Connect Requirement

To receive payouts, Sellers must connect and verify a Stripe account via Stripe Connect. Listings cannot go live until the Stripe account is verified. Payout processing, currency conversion, and account verification are governed by Stripe's Terms of Service. We are not responsible for delays or failures in payout caused by Stripe or your bank.

4.2 Ownership & Rights Warranty

By uploading a project file, you represent and warrant that:

  • You are the sole original creator of the uploaded project, or have obtained all necessary rights and licences to sell it.
  • The project does not contain samples, loops, presets, or third-party content that you are not licensed to resell or transfer.
  • The project does not infringe any third-party intellectual property right, including copyright, trademark, or moral rights.
  • You have the legal capacity to enter into a binding sale in your jurisdiction.

You indemnify and hold harmless Louder and its operators from any claim, loss, or expense (including legal fees) arising from a breach of the above warranties.

4.3 Listing Requirements

Project files must be uploaded as ZIP archives (maximum 500 MB compressed, 2 GB uncompressed). Each archive is scanned automatically upon submission for:

  • Suspicious compression ratios (zip bomb detection)
  • Path traversal attacks
  • Disallowed file types
  • Duplicate content (SHA-256 checksum)

Listings that fail validation are rejected. Sellers are notified of the reason. Repeated submission of invalid or malicious files may result in account termination.

Audio preview files (MP3 or WAV, maximum 20 MB, maximum 60 seconds) must accurately represent the project being sold. Misleading previews are grounds for listing removal.

Listings cannot be edited after submission. Sellers confirm at submission that the project file matches the audio preview.

4.4 Platform Fee

Louder charges a 15% platform fee on every completed sale, deducted from the seller payout. Buyers are not charged any platform fees on top of the listed price. The platform fee is non-refundable once a transaction is completed.

Louder absorbs Stripe payment processing fees on behalf of sellers. Stripe may apply currency conversion fees on payouts if your payout currency differs from USD; such fees are outside Louder's control.

4.5 License Types

Sellers must designate one of the following licence types for each listing:

  • Non-Exclusive — The project may be purchased by multiple buyers. The listing remains active after each sale. The Seller retains ownership and may continue using the project themselves.
  • Exclusive — The project is sold once. The listing is removed from the marketplace upon successful payment. Full rights to the project are transferred to the Buyer. The Seller agrees not to sell, distribute, or use the project commercially after the sale is completed.

4.6 Attribution

Sellers may require Buyers to credit them when using the purchased project. If attribution is required, the credit string is displayed on the listing and is incorporated into the sale agreement. Attribution requirements do not apply to Exclusive sales, where all rights (including moral rights to the extent permitted by law) are transferred to the Buyer.

5. Buyer Terms

5.1 What You Are Buying

You are purchasing a digital, unfinished music project file. The Platform explicitly describes projects as incomplete ("unfinished"). You acknowledge that the project may lack vocals, a finalised arrangement, mixing, mastering, or other elements, as disclosed by the Seller. The Platform makes no representation about the quality, completeness, or commercial viability of any project.

5.2 Licence Granted

Upon a completed, finalised purchase, you receive a licence to the project as follows:

  • Non-Exclusive licence — A personal, non-transferable licence to use, modify, and release music derived from the project file. You may not resell, sublicence, or redistribute the project file itself.
  • Exclusive licence — Full ownership of the project file and all rights thereto are transferred to you upon finalisation. You may use, modify, release, and assign the project without restriction. The Seller warrants they will not commercially exploit the project after transfer.

If the listing specifies attribution, you agree to credit the Seller as instructed on all public releases derived from the project.

5.3 Review Period & Download

After a successful payment, you have a 72-hour review period to download and inspect the project file. During this period, the seller's payout is held. You may:

  • Confirm the purchase, releasing the payout to the Seller immediately.
  • Report a problem by contacting support within 72 hours.

If no action is taken within 72 hours, the purchase is automatically finalised and the payout is released. Once finalised, purchases are non-refundable except at Louder's sole discretion in cases of verified fraud.

Download links are delivered via a time-limited signed URL (24-hour expiry). You may re-generate download links from your Purchases dashboard for the lifetime of your account.

5.4 No Refund Policy

All sales of digital goods on Louder are final. Because project files are digital and immediately accessible, we cannot offer refunds once a file has been downloaded. The 72-hour review period is provided as your opportunity to verify the file before finalisation. If you encounter a verifiable technical issue (corrupted file, file does not match the description) within the review period, contact us at [email protected] and we will investigate.

6. Payments & Currency

All transactions are processed in USD by Stripe, Inc. By completing a purchase, you agree to Stripe's Terms of Service. Louder does not store full payment card details; all card data is handled exclusively by Stripe.

Your bank or card issuer may apply currency conversion or international transaction fees. These are outside Louder's control and are your responsibility.

7. Prohibited Content & Conduct

You may not use the Platform to:

  • Upload or sell project files containing samples, loops, or elements for which you do not hold resale rights.
  • Upload malware, viruses, or any malicious code.
  • Upload content that is defamatory, obscene, or illegal under applicable law.
  • Circumvent, disable, or interfere with Platform security features or validation systems.
  • Create multiple accounts to circumvent listing limits or abuse the Platform.
  • Conduct fraudulent transactions or chargebacks without legitimate grounds.
  • Scrape, crawl, or data-mine the Platform without written permission.
  • Impersonate other users or misrepresent your identity.

Violation of these rules may result in immediate account suspension, content removal, and legal action where appropriate.

8. Intellectual Property

Louder does not claim ownership of content uploaded by Sellers. By uploading content, you grant Louder a limited, non-exclusive, royalty-free licence to store, display (including audio preview playback), and deliver your content as necessary to operate the Platform.

All Platform software, design, trademarks, and branding are the property of the Platform operator. You may not reproduce, distribute, or create derivative works without prior written consent.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

We do not warrant that project files listed on the Platform are of any particular quality, that they will work with your specific software version or hardware, or that they are free from errors. All project descriptions, completeness percentages, and metadata are provided by Sellers and are not verified by Louder.

We do not warrant that the Platform will be error-free, uninterrupted, or free from security vulnerabilities. Use of the Platform is at your own risk.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Louder and its operators, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue.
  • Loss of data or project files.
  • Loss of goodwill or reputation.
  • Costs of substitute goods or services.
  • Any damages arising from transactions between Sellers and Buyers.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the total amount you have paid to Louder in the 12 months preceding the claim, or (b) €50.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Louder and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your violation of these Terms.
  • Your uploaded content, including any intellectual property infringement.
  • Your interactions with other users.
  • Your violation of any applicable law or third-party right.

12. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, your right to access the Platform ceases immediately. Sections 4.2, 8, 9, 10, and 11 survive termination.

You may close your account at any time by contacting [email protected]. Closing your account does not entitle you to a refund of any fees paid, and does not remove your obligations arising from completed transactions.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Poland, unless mandatory consumer protection laws in your country of residence provide otherwise.
